Value first — read it before you sign anything
Two founders and an advisor: 60/40 split, four-year reverse vesting with a one-year cliff, advisor at 0.5% on a two-year schedule, IP assigned in. The company record carries the cap table; the payouts job shows who gets what on an exit at three worked prices.
The SHA library is clause-by-clause on a jurisdiction cell. We do not invent state filing fees — when a licensed fee table is not on file, that slot stays empty.
