Holdings OS · pricing

The Holdings ladder: book, ledger, match, graph.

Come as you are. The cap table is ready before you incorporate. A startup, a GP fund, or a factory that owns operating companies — one book. Start at $0. Vesting, waterfall, carry, partner K-1, stock compensation expense, and a fund order desk are included when you need them. When title moves, Counsel is already on the same company.

How it works

Start with the company you have, not the vehicle you think you need.

You do not pick a fourth kind of entity. You name what you are building, record who owns it, and grow into company secretary work when it is actually time.

We are forming the company. Seed money landed in my personal account to pay counsel. I need the cap table honest from day one.

Come as you are

Pre-incorporation is allowed. No credit card until you choose a paid plan.

2

Name the book

Company, fund, or SPV. A factory that owns companies stays a company.

3

Record ownership

Holders, classes, vesting, and waterfall on one ledger — not a spreadsheet handoff.

Add corp sec, desks, and Full when the book is real. Not at the door.

What’s included

From the cap table to carry, K-1, and the fund desk.

One company record — not a second ledger, not invented NAV, and not a substitute for your valuation firm or counsel.

Employee portal

Grants, exercise, tax summary, and grant documents.

Open portal →

Vesting & waterfall

Vested and unvested positions plus exit allocation.

Open vesting →

Stock compensation

ASC 718 expense from vesting and fair value — not a 409A appraisal.

Open expense →

Carry allocation

Preferred return, catch-up, and carry on called capital.

Open carry →

Partner K-1 & GL

Capital-account rollforward from calls, distributions, and carry.

Open K-1 →

Fund order desk

One execution path plus fund-desk marks.

Capital calls

Calls and distributions on the fund book beside portcos.

Who it is for

Three arrivals. One product.

Holdings OS is not a fund product, a startup product, and a holdco product. It is one company graph.

Founders

The company you are still forming.

Open a book before the certificate exists. Keep the option pool, the founder common, and the first preferred round on the same page. Counsel for the SHA lives next door on Legal OS — seekers never pay.

General partners

A fund book of companies.

The GP ledger is a graph of portcos — carry, partner K-1, and the fund desk on this book. Not a fourth vehicle and not invented NAV.

Factories & holdcos

Operating companies underneath.

Ownership is the graph. Tokens, if you have them, are live marks on a desk.

Holdings pricing

Start at $0. Pay when the book is real.

Legal OS pricing lives on the Counsel pricing page. This page is Holdings OS only — USD list, billed when you subscribe.

$0 USD to start

Come as you are. No credit card, no clock. The trial ledger is the product you enter.

Open the free ledger

Company ledger

$199
USD / month

Cap table, vesting, waterfall, and dilution for one issuer.

  • Holders, classes, and schedules
  • The ledger you see in the trial

SME intake + CLM

$49
USD / month

Intake and contracts beside the ledger — not instead of it.

  • Matters next to ownership
  • For the operating company

Founder investor match

$299
USD / month

Discovery and a warm intro. Cap table math stays on the ledger plan.

  • Introductions, not dilution math
  • Ledger stays a separate plan
Holdings OS Full
$4,999/mo USD

The GP or factory graph — jurisdiction on the company row. Billed monthly. Separate from Legal OS pricing and the regional invitation program.

Valuables depository

Full estate inventory on the lot: land, metals, gems, collections, transport, household, cash, insurance, look-through pointers, and unmarked liabilities. Location and papers travel with the lot. Spot overlay is not net worth. Pointers are not a second NAV. Not a 706 filing. Not a custodian.

Public + digital desks

Live marks for listed and digital assets. Not fund NAV, and not a door tax.

Corp sec at scale

Company secretary when you need to implement it — after the book exists.

African Enterprise VC remains invitation-only, with ZA playbooks. It is a regional sibling — not Holdings OS Full.

Questions

Clear answers, not a glossary.

When the ledger moves, is counsel already there?

Yes. When the ledger moves, counsel is already in the graph. Holdings OS is the book. When a shareholders agreement, an investor, or a lease moves title, open Counsel on the same company — not a second homepage. Seekers never pay.

Do I pay to start?

No. Come as you are is $0. Open the trial ledger with no credit card. Choose a sectional plan or Holdings OS Full when the book is real.

Does a GP fund get carry and K-1 on this book?

Yes — on the same company record. Carry allocates preferred return, catch-up, and carry on called capital. Partner K-1 and GL roll capital accounts from calls, distributions, and carry income.

We might hold tokens. Is that a fourth vehicle?

No. Tokens are live marks on a desk, not invented fund NAV, and not a new kind of entity. You still arrive as a company, a fund, or an SPV.

What is Full versus the African invitation?

Holdings OS Full is the global $4,999/mo USD plan on this page. African Enterprise VC is invitation-only with South Africa playbooks — a regional sibling, not the same program.

Open the book you already have.

The trial ledger is Northwind — Alice Founder at 40%. That is the same book you open in trial.

Value first — read it before you sign anything

A walkthrough of listing the team split before incorporation and a real shareholders-agreement library entry — the ownership conversation (split, vesting, IP assignment) readable before any signup.

Two founders and an advisor: 60/40 split, four-year reverse vesting with a one-year cliff, advisor at 0.5% on a two-year schedule, IP assigned in. The company record carries the cap table; the payouts job shows who gets what on an exit at three worked prices.

The SHA library is clause-by-clause on a jurisdiction cell. We do not invent state filing fees — when a licensed fee table is not on file, that slot stays empty.

A filing mill is cheap and I'm done.

The certificate is not the book. Company ledger is $199 when this record must be the record — not a state filing. List the team split before you stamp; the book is $0. Stamp is a later job on that company id. See it live

We'll clean up the cap table later.

Later is a diligence finding. Naming holders takes minutes now, and the record is the same Equity 312 row Counsel reads when the first round papers move. See it live

I'm a prop firm — this is just a cap table.

A prop firm is still an operating company. The cap table is who holds it. Trading accounts hang off that company in two families, composed on GET /api/v10/prop-firm/families: Tradovate (Apex) and MT5 (FTMO, FTUK, and the rest of GET /api/v10/mt5/prop-servers). Same registry either way: POST /api/v10/prop-firm/onboard. Apex SKUs send profile_id so a $150K book is not the 25K envelope. Payouts after connect are carry plus the profile profit-split — not invented NAV. See it live

Where do payouts connect our accounts?

Connect first via GET /api/v10/prop-firm/families: Tradovate (Apex) is user/pass; MT5 copies login plus the welcome-email server string. Same POST /api/v10/prop-firm/onboard. Then allocate: pref → catch-up → carry on called capital, and the prop profile split. Marks are not NAV. The クロタ tape stays a sample fund. See it live

Legal costs will spiral.

The book costs nothing and is structured so counsel starts from facts, not archaeology. You pay for judgment when title moves — not for re-assembling who owns what. See it live

Is this legal advice?

No. It is a book of record plus a cited corpus. When you need advice, the counsel door hands your structured record to a lawyer — that separation is the point. See it live

A filing mill sells the certificate. Ownership is everything underneath — list the team split before you incorporate.
